TERMS OF SERVICE

These Terms of Service govern access to https://hayubiomedical.co.uk and the supply of products and services by HAYU Biomedical Limited.

Please read these Terms carefully before using our website, requesting a quotation or placing an order. By accessing the website or entering into a contract with us, you agree to these Terms, subject to any statutory rights that cannot legally be excluded.

  1. SCOPE OF THESE TERMS

These Terms apply to:

• Use of our website
• Requests for quotations
• Orders submitted by email, purchase order, website form or other agreed method
• Sales of laboratory consumables, reagents, chemicals, research products, instruments and equipment
• Product sourcing, technical support and related services

Separate written terms in an accepted quotation, proforma invoice, tender response, order acknowledgement or signed agreement will take priority where they expressly differ from these Terms.

Nothing in these Terms limits statutory consumer rights that cannot legally be restricted.

  1. BUSINESS AND CONSUMER CUSTOMERS

Most of our products are intended for laboratories, universities, research institutions, healthcare organisations, distributors, businesses and other professional users.

A “business customer” is a person or organisation purchasing wholly or mainly for business, institutional, professional, trade or research purposes.

A “consumer” is an individual purchasing wholly or mainly for purposes outside their trade, business, craft or profession.

Certain provisions of these Terms apply differently to business customers and consumers. Where consumer protection law applies, those legal rights take priority over any inconsistent provision.

  1. WEBSITE INFORMATION

We take reasonable care to ensure that information presented on our website is accurate and current. However:

• Product images may be illustrative and packaging may vary
• Colours, labels and dimensions may appear differently on different devices
• Manufacturer specifications, formulations, packaging and catalogue information may change
• Products displayed on the website may not always be available
• Website content does not constitute a guaranteed offer to supply
• Typographical, technical or pricing errors may occasionally occur

We may correct errors or update website content without notice. Any material change affecting an accepted order will be communicated to the customer.

Customers should confirm critical specifications, compatibility, regulatory status, storage conditions and intended application before ordering.

  1. PRODUCT CLASSIFICATION AND INTENDED USE

Unless expressly stated otherwise in writing, products displayed or supplied by HAYU Biomedical are intended for research, laboratory, industrial, educational or professional use.

Products marked “Research Use Only”, “RUO” or with an equivalent designation must not be used for human or veterinary diagnostic, therapeutic or clinical purposes unless separately authorised and labelled for that purpose.

A product’s inclusion on our website does not mean that it is approved for every jurisdiction, application or procedure.

The customer is responsible for ensuring that:

• The selected product is suitable for the intended application
• The product is used only by appropriately trained personnel
• Manufacturer instructions, safety data sheets and protocols are followed
• Required licences, approvals and registrations are obtained
• Applicable laws, regulations, laboratory standards and institutional procedures are followed
• Suitable facilities, equipment, personal protective equipment and risk controls are available

Information provided by us does not replace professional, scientific, clinical, regulatory or safety advice.

  1. QUOTATIONS

A request for a quotation does not create an obligation to purchase or an obligation on us to supply.

Unless stated otherwise, quotations:

• Are based on the information provided by the customer
• Remain subject to product availability and final order acceptance
• Are valid only for the period stated in the quotation
• May be revised if exchange rates, freight charges, supplier prices, duties, taxes or customer requirements change before acceptance
• Apply only to the quantities, products, delivery destination and terms specified

Quotation prices must not be reproduced, published or disclosed to third parties except where reasonably necessary for the customer’s internal procurement or tender process.

  1. PLACING AN ORDER

Orders may be submitted by an accepted quotation, purchase order, proforma invoice, email confirmation or another method approved by us.

The customer is responsible for checking that all order information is complete and accurate, including:

• Product name and catalogue number
• Pack size and quantity
• Billing and delivery details
• Storage and transportation requirements
• Required delivery date
• End-use, regulatory or import requirements
• Purchase-order or tender references

Submission of an order constitutes an offer to purchase. An automated acknowledgement or confirmation that we received an enquiry does not mean that the order has been accepted.

  1. FORMATION OF THE CONTRACT

A binding contract is formed only when we issue written order acceptance, accept payment against a proforma invoice, dispatch the goods or otherwise expressly confirm acceptance in writing.

We may decline an order before acceptance because of product unavailability, supplier restrictions, pricing errors, export controls, credit concerns, regulatory requirements or other reasonable commercial grounds.

A customer’s purchase order does not override these Terms unless we expressly agree to the different terms in writing.

  1. PRODUCT AVAILABILITY AND SUBSTITUTIONS

All products are subject to availability.

Where a product becomes unavailable, discontinued, delayed or replaced by its manufacturer, we may:

• Offer a revised delivery date
• Suggest a technically comparable alternative
• Offer a partial shipment
• Cancel the affected item and refund any amount paid for it

We will not substitute a materially different product without the customer’s agreement.

  1. PRICES, TAXES AND CHARGES

Prices are stated in the currency shown in the quotation, invoice or website listing.

Unless expressly stated otherwise, prices exclude:

• Delivery and specialist packaging
• Insurance
• Customs duties and import charges
• Brokerage and clearance fees
• Bank and currency-conversion charges
• Value Added Tax or other applicable taxes

VAT or other taxes will be charged only where legally applicable and will be identified in the relevant quotation or invoice.

International customers are responsible for taxes, duties, permits and clearance charges imposed by the destination country unless the accepted quotation expressly states otherwise.

  1. PAYMENT

Payment terms will be stated in the quotation, proforma invoice, commercial invoice or written order acceptance.

We may require full or partial payment before:

• Placing an order with a manufacturer or supplier
• Beginning production or customisation
• Reserving stock
• Dispatching products
• Commencing a service

The customer must pay all amounts in full, without unauthorised deduction, set-off or withholding.

For business customers, we may suspend supply, withhold dispatch or cancel unfulfilled orders where an invoice becomes overdue. Any statutory right to claim interest or reasonable recovery costs is reserved.

  1. ORDER CHANGES AND CANCELLATION

Customers should contact sales@hayubiomedical.co.uk immediately if they wish to change or cancel an order.

We will try to accommodate the request, but changes or cancellation cannot be guaranteed after an order has been accepted, dispatched, submitted to a supplier or entered production.

Special-order, customised, personalised, non-stock and made-to-order products may be non-cancellable after processing begins. Reasonable supplier, production, administration or cancellation charges may apply to business orders.

Consumer cancellation rights, where applicable, are explained in our Return and Refund Policy and are not affected by this section.

  1. DELIVERY

Delivery methods, charges and estimated timescales will be specified in the quotation, order confirmation or Shipping Policy.

Delivery dates are estimates unless we expressly agree in writing that a date is guaranteed.

Delivery may depend on:

• Manufacturer or supplier availability
• Production and quality-control schedules
• Import or export procedures
• Customs clearance
• Dangerous-goods requirements
• Temperature-controlled transportation
• Carrier capacity
• Events outside our reasonable control

We will notify the customer of a material known delay and provide an updated estimate where reasonably possible.

For consumers, goods will be delivered within the period agreed with the customer or otherwise within the period required by applicable law.

  1. DELIVERY INSPECTION

The customer should inspect the shipment promptly after delivery and check:

• The number of parcels
• Product identity and quantity
• Outer and inner packaging condition
• Temperature indicators, where provided
• Visible damage, leakage or breakage

Damage, shortages, incorrect products or suspected temperature excursions should be reported promptly to sales@hayubiomedical.co.uk with photographs and relevant order details.

For business customers, visible delivery issues should preferably be reported within 48 hours. This reporting request does not remove any legal rights that cannot be excluded.

  1. TITLE AND RISK

For consumer sales, risk passes to the consumer when the goods are delivered into their physical possession or to a person identified by them to receive the goods, subject to applicable law.

For business sales, risk passes at the point specified in the accepted quotation, agreed delivery term or applicable Incoterm. If no point is specified, risk normally passes when the goods are delivered to the stated delivery address.

Ownership of products does not pass to a business customer until we have received full payment of all amounts due for those products.

  1. STORAGE, HANDLING AND PRODUCT INTEGRITY

Customers must follow all stated storage, handling, transport, installation and usage requirements immediately upon delivery.

HAYU Biomedical is not responsible for deterioration, contamination, loss of performance or damage caused after risk has passed where this results from:

• Incorrect storage temperature
• Repeated freezing and thawing
• Exposure to light, moisture or contamination
• Incorrect handling or transportation
• Use after the expiry date
• Failure to follow manufacturer instructions
• Use outside the stated specification or intended application
• Incompatible equipment, reagents or procedures

Customers should maintain appropriate receipt, storage and temperature records for sensitive products.

  1. SAFETY AND REGULATED PRODUCTS

Some products may be hazardous, temperature-sensitive, restricted or subject to specialist transport and disposal requirements.

The customer is responsible for reviewing available labels, safety data sheets, technical documentation and risk information before use.

The customer must ensure lawful receipt, storage, use, transportation and disposal of all products and must not resell, transfer or export restricted products unlawfully.

We may refuse or suspend supply if legal, regulatory, safety, sanctions or export-control requirements cannot be satisfied.

  1. TECHNICAL SUPPORT

Any technical information or support provided by us is offered in good faith based on the information available at the time.

Results may vary because of sample quality, laboratory conditions, equipment, protocols, user technique and other factors outside our control.

Unless expressly agreed in writing, technical support does not constitute:

• A guarantee of experimental or diagnostic results
• Validation of a customer’s method
• Regulatory approval
• Clinical or medical advice
• Acceptance of responsibility for the customer’s procedure or interpretation

Customers remain responsible for appropriate controls, validation, verification and professional judgement.

  1. WARRANTIES

Products will be supplied in accordance with the description and any applicable manufacturer specification, subject to lawful tolerances and changes.

Equipment may be covered by a manufacturer’s warranty. Warranty periods and conditions vary by product and will be provided where applicable.

A warranty may not cover damage resulting from misuse, unauthorised repair, incorrect installation, unsuitable operating conditions, failure to maintain the equipment, power irregularities, contamination or failure to follow instructions.

Nothing in this section limits rights available to consumers under applicable law.

  1. RETURNS AND REFUNDS

All cancellations, returns, repairs, replacements, credits and refunds are governed by our Return and Refund Policy, which forms part of these Terms.

Customers must obtain written return authorisation before sending products back.

Hazardous, contaminated, biological, chemical, refrigerated or frozen goods must never be returned without our specific written instructions.

  1. INTELLECTUAL PROPERTY

The website and its original content, layout, graphics, text and design elements are owned by or licensed to HAYU Biomedical and are protected by applicable intellectual-property laws.

Manufacturer names, trademarks, catalogue references, images and technical documents remain the property of their respective owners.

Customers may view and download website material for legitimate internal purchasing, evaluation and research-reference purposes. Content must not be reproduced, altered, republished, commercially exploited or used misleadingly without the relevant owner’s permission.

  1. ACCEPTABLE WEBSITE USE

You must not:

• Use the website for unlawful, fraudulent or harmful purposes
• Attempt to gain unauthorised access to the website or connected systems
• Introduce malicious code, viruses or disruptive technology
• Scrape or harvest data in a way that adversely affects the website
• Impersonate another person or submit false information
• Infringe intellectual-property or privacy rights
• Use website content to misrepresent a product or business relationship

We may restrict access where reasonably necessary to protect the website, our business or other users.

  1. THIRD-PARTY LINKS AND SERVICES

  1. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Breach of obligations that cannot legally be excluded
• Any matter for which liability cannot lawfully be limited

Nothing in these Terms limits statutory remedies available to consumers.

For business customers only, and to the fullest extent permitted by law:

• We will not be liable for indirect or consequential loss
• We will not be liable for loss of profit, revenue, business, contracts, anticipated savings, research time, data or opportunity
• We will not be liable for experimental failure or invalid results caused by matters outside our reasonable control
• Our total liability arising from an affected order will normally be limited to the amount paid or payable for the products or services giving rise to the claim

Any business limitation applies only to the extent that it is reasonable and legally enforceable.

  1. CUSTOMER INDEMNITY

Business customers will be responsible for reasonable losses, claims and costs arising from their unlawful misuse, unauthorised resale, prohibited export or unsafe handling of products, except to the extent caused by our breach, negligence or other legal responsibility.

This section does not apply to consumers.

  1. EVENTS OUTSIDE OUR CONTROL

We will not be responsible for delay or failure caused by an event outside our reasonable control, including natural disasters, epidemic or pandemic restrictions, war, civil disturbance, government action, sanctions, strikes, carrier disruption, border closure, customs delay, supplier failure, shortage of materials, utility failure or cyber incident.

We will take reasonable steps to reduce the effect of the event and will inform affected customers where appropriate.

If an event materially prevents performance for an extended period, either party may have rights to cancel the affected part of the contract, subject to applicable law and costs already reasonably incurred for non-cancellable business orders.

  1. PRIVACY

Personal information is handled in accordance with our Privacy Policy and applicable data-protection law.

Customers are responsible for ensuring that any personal information supplied to us has been collected and shared lawfully.

  1. CHANGES TO THESE TERMS

We may update these Terms to reflect changes in law, business operations, products or website functionality.

The version applying to an accepted order will normally be the version in effect when the contract was formed, unless a change is required by law or agreed by both parties.

The current version and its last-updated date will be published on our website.

  1. SEVERABILITY

If any provision of these Terms is found to be unlawful or unenforceable, that provision will be treated as modified to the minimum extent necessary or removed where modification is not possible. The remaining provisions will continue in effect.

  1. NO WAIVER

A delay or failure to enforce a right does not mean that the right has been waived.

  1. THIRD-PARTY RIGHTS

Unless expressly stated otherwise, no person other than the customer and HAYU Biomedical has a right to enforce the contract.

  1. GOVERNING LAW AND JURISDICTION

These Terms and any dispute arising from them are governed by the laws of England and Wales.

For business customers, the courts of England and Wales will have exclusive jurisdiction unless otherwise agreed in writing.

Consumers may retain the right to bring proceedings in the part of the United Kingdom or other jurisdiction where they live where applicable consumer law permits.
